Eugenie Rivers
provides on-call corporate counsel services to forward-thinking
companies and financial institutions. Ms. Rivers brings significant
corporate, securities and finance expertise to companies needing
part-time general counsel, and to companies with in-house general
counsel needing assistance during transactions and regulatory
reporting periods. Ms. Rivers also offers separate counsel to public
company board committees. Ms. Rivers has 20 years of combined legal
and banking experience, initially serving as a vice president of
commercial lending with several banks in Alaska, and most recently serving as a
corporate finance partner at the Davis Wright Tremaine law firm in
Seattle.

Ms.
Rivers offers part-time general counsel services to privately-held
companies whose board of directors or management wants ready access
to a chief legal officer, without committing to the cost of
full-time in-house counsel. She works closely with her general
counsel clients to develop proactive legal strategies and solutions
to business issues. Ms. Rivers provides these services on a monthly
retainer and/or per project fixed-fee basis in order to encourage
regular, proactive communication, and to facilitate her clients’
legal budgeting and cash flow management.
Ms.
Rivers offers assistance to in-house general counsel of public
companies and financial institutions during large transactions,
annual shareholder meeting preparation, and SEC and other regulatory
reporting periods. Her goal is to free up the client’s general
counsel to handle management responsibilities and to interface with
the board of directors, board committees, other executives, and
significant shareholders. Ms. Rivers offers these services on a per
project fixed-fee basis, which is much more cost effective and
flexible than delegating to outside company counsel or hiring an
additional in-house attorney.
Ms.
Rivers offers separate counsel to public company audit and
compensation committees on Sarbanes-Oxley, NASDAQ and exchange
requirements, reporting, and compliance. In this capacity, she is
available for periodic consultation with committee members,
attendance at committee meetings and retreats, and periodic on-going
director education presentations as required by
Sarbanes-Oxley.
